Terms & Conditions
These Terms & Conditions ("Terms") govern your access to and use of DetailOS (the "Service"), provided by Fractal Corp ("Fractal Corp", "we", "us", or "our"). By creating an account, accessing, or using the Service you agree to be bound by these Terms.
1. Who we are
The Service is owned and operated by Fractal Corp. When you contract for the Service, you are contracting with Fractal Corp. If you do not agree to these Terms, do not use the Service.
2. Acceptance & authority
By continuing to use the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you are an individual, you confirm that you are of legal age to form a binding contract.
3. The Service
DetailOS is an operations platform for professional detailing businesses, including scheduling, quoting, customer records, job tracking, customer messaging, and related AI-assisted features. The Service is provided on an as-is basis under the plan you select. We may add, modify, or remove features over time.
DetailOS is business management software. It is not a payment processor, payment facilitator, money transmitter, marketplace, or financial institution. We do not hold, transmit, or process funds on behalf of you or your customers. Any payments collected from your customers are processed entirely by a third-party payment processor that you connect to your own account (e.g. Stripe). See Section 10.
4. Accounts & accurate information
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it up to date.
5. Acceptable use
You must not, and must not permit anyone else to:
- use the Service for any unlawful, fraudulent, or deceptive purpose;
- send spam or unsolicited messages, or violate any anti-spam or telemarketing law;
- infringe any intellectual property, privacy, publicity, or other right of any party;
- upload malware, probe, scan, scrape, or otherwise interfere with the security or integrity of the Service;
- reverse engineer, decompile, or attempt to extract the source code of the Service except as permitted by law;
- resell, sublicense, or redistribute the Service without our prior written consent.
6. Intellectual property
The Service, including all software, documentation, branding, and content provided by Fractal Corp, is owned by Fractal Corp or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.
7. Your content
You retain ownership of the data and content you upload to the Service ("Your Content"). You grant Fractal Corp a worldwide, non-exclusive license to host, store, transmit, and process Your Content solely to provide and improve the Service. You are responsible for Your Content and for ensuring you have all rights necessary to upload it.
8. AI features
The Service includes AI-assisted features. You are responsible for your prompts, inputs, and how you use any AI output. AI outputs may be inaccurate or incomplete and should not be relied on for regulated professional advice without independent human review. You must not use the AI features to generate illegal content, harassment, deepfakes, malware, or to attempt to bypass safety controls. We may filter, restrict, or refuse outputs and may suspend accounts that violate these rules.
9. Payment terms & Stripe
Our order process is conducted by our online reseller Stripe. Stripe is the Merchant of Record for all our orders. Stripe provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Stripe's Terms, available at stripe.com/legal/consumer. Subscriptions renew automatically at the end of each billing cycle until cancelled. You can cancel at any time from your account or via Stripe.
10. Customer payments (third-party processors)
As an optional convenience, the Service lets you connect your own payment processor account (e.g. Stripe) so you can send invoices to your own customers. You are solely responsible for opening, operating, and complying with the terms of that processor account. All customer-to-you payments flow directly between your customer and your connected processor — funds never touch Fractal Corp, Stripe, or the DetailOS infrastructure. Fractal Corp is not a party to those transactions, does not act as a payment processor or money transmitter for them, and is not responsible for funds, chargebacks, disputes, taxes, or compliance arising from them.
11. Service level & warranties
We work hard to keep the Service available and accurate, but we do not guarantee that the Service will be uninterrupted, error-free, or fit for any particular purpose. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, Fractal Corp's aggregate liability arising out of or relating to the Service is limited to the fees you paid to us (excluding amounts paid to Stripe as Merchant of Record) in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, or incidental damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence where such limitation is not permitted.
13. Indemnity
You agree to indemnify and hold harmless Fractal Corp from any claim arising from Your Content, your use of the Service in breach of these Terms, or your violation of any law or third-party right.
14. Suspension & termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your account at any time. Upon termination, your right to use the Service ends; you may export Your Content for a reasonable period after which it may be deleted.
15. Changes to the Service or Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which Fractal Corp is established, excluding its conflict-of-laws rules. The exclusive venue for disputes will be the competent courts of that jurisdiction, unless otherwise required by applicable consumer law.
